MemBERSHIP TERMS AND CONDITIONS

Welcome to Aloha Rock Gym! These Terms and Conditions ("Terms") govern your use of our website, services, and facilities. By accessing or using our site and services, you agree to these Terms. If you do not agree, please do not use our site or facilities.
1. Use of Website
You may use our website for lawful purposes only. You agree not to:
- Engage in any activity that disrupts or interferes with the website or services
- Copy, modify, distribute, or reuse any content without permission
- Upload malicious code or attempt to gain unauthorized access to our systems
2. Intellectual Property
All content on this website — including text, logos, images, videos, and design elements — is the property of Aloha Rock Gym or its content suppliers and is protected by copyright and other laws. You may not use, copy, or reproduce our content without written consent.
3. Membership and Class Terms
By purchasing a membership, punch pass, or signing up for a class:
- You agree to follow all gym rules and safety guidelines
- You acknowledge and accept the inherent risks associated with climbing
- You consent to signing a liability waiver before participating
- You understand that fees are non-refundable unless stated otherwise
We reserve the right to cancel or modify memberships, classes, or policies at any time.
4. Payment and Billing
All payments made for services, classes, or merchandise are processed securely. You agree to provide accurate billing and contact information. Recurring membership payments will continue until cancelled according to our cancellation policy.
5. Waivers and Assumption of Risk
Climbing is inherently risky. By participating in any activity at Aloha Rock Gym, you:
- Acknowledge that injuries can occur
- Agree to follow all staff instructions and posted guidelines
- Waive Aloha Rock Gym and its staff from liability for injuries or damages, to the fullest extent permitted by law
6. Cancellations and Refunds
Cancellations for classes or bookings must be made within the posted time frame to be eligible for a refund or credit. Membership cancellations require notice as defined in your membership agreement. We reserve the right to modify refund and cancellation terms.
7. User-Generated Content
If you submit content (e.g., reviews, photos, social media tags):
- You grant Aloha Rock Gym the right to use, reproduce, and publish the content
- You confirm that the content is your own and does not infringe on others’ rights
8. Links to Third-Party Sites
Our website may contain links to third-party sites. We are not responsible for their content or privacy practices. Use of those sites is at your own risk.
9. Limitation of Liability
To the fullest extent allowed by law, Aloha Rock Gym shall not be liable for any indirect, incidental, or consequential damages resulting from your use of the website or participation in activities.
10. Changes to Terms
We may update these Terms at any time. Continued use of our website or services after changes are posted constitutes your acceptance of the new Terms.

MEMBERSHIP TERMS AND CONDITIONS
1) MEMBERSHIP: This agreement forms a legally binding agreement between Member and Aloha Rock Gym and governs Member's access and use of Aloha Rock Gym’s Membership Services and physical facilities. Hereinafter, "you" and other third-person pronouns will refer to as Member.
2) MEMBERSHIP SERVICES: The membership services provided by Aloha Rock Gym are as follows:
- Access to the facility, climbing walls, workout areas, lockers, bathrooms, and shower room during normal business operating hours.
- Membership provides general facility access, but does not include instruction, private sessions, or special events unless otherwise stated in your membership package.
- Normal business operating hours may be affected by closure for maintenance, private events, or holidays.
- Discounts on certain workshops, classes, and special events shall vary.
- Guest pass policy per membership description; otherwise at discretion of Aloha Rock Gym.
3) BILLING CYCLE: For weekly membership billing cycles, billing cycles begin on the day of the week of purchase and end seven days later including the day of purchase. For monthly membership billing cycles, billing cycles begin on the day of the month of purchase and end 30 days later. For annual membership billing cycles, billing begins on the date of purchase and ends after one full year. Rates are subject to change upon advanced notice by written or email communication to Members. Membership activation dates may vary depending on the needs of Member and authorization of Aloha Rock Gym.
4) FEES: A NON-REFUNDABLE registration fee payment will be charged immediately upon checkout.
5) AUTOMATIC RENEWAL: Once membership is activated, Aloha Rock Gym will automatically process payment for the next billing cycle and will continue to do so until Member terminates this contract. If member purchases a Founding Member annual membership, the membership will automatically renew at the end of 12 months and convert to a weekly membership at the then-current weekly rate. By purchasing an annual membership, Member gives consent to this renewal. Aloha Rock Gym will notify Member in advance of the renewal with the current rate and simple instructions to cancel. Member may cancel at any time with 7 days notice contacting Aloha Rock Gym via our website https://www.aloharockgym.com/manage-membership. Cancellation will stop any future weekly billing.
6) TERMINATION OF CONTRACT: This contract may be terminated via our website https://www.aloharockgym.com/manage-membership. Aloha Rock Gym reserves the right to terminate a membership for violation of facility rules, non-payment, conduct deemed unsafe or inappropriate, or for any other justifiable reason. Upon termination, the Member will enjoy the remaining duration of the current billing cycle otherwise known as the Termination Period. The Member will still have access to Membership Services until the end of their termination period. There will be no refunds for past membership payments.
7) TRANSFER OF CONTRACT: The Aloha Rock Gym Annual Membership contract cannot be transferred unless Aloha Rock Gym, at its discretion, allows a one-time transfer to another individual residing on Maui, subject to administrative approval. The registration fee (for weekly billing memberships) is not transferable or redeemable towards any other Membership once terminated.
8) MEMBERSHIP FREEZE: Memberships types eligible for freezes/pauses are: weekly, and monthly memberships. Annual memberships are not eligible to pause. Weekly and monthly memberships may be paused a maximum of 4 times per year. Member may request their account be frozen on a week-to-week basis via website https://www.aloharockgym.com/manage-membership. Members must give 7 days advance notice for freeze to be applied. Member will be charged $5.00 per week while the membership is frozen for weekly billing memberships, and $20 per month for monthly billing memberships. Exemption: Military members on orders may waive this fee; proof of orders is required.
9) LIMITED LICENSE: Member acknowledges and agrees that Aloha Rock Gym’s name, services, and any logos, designs, text, graphics, software, content, files, materials, and any other intellectual property rights contained therein, including without limitation, any copyrights, patents, trademarks, proprietary or other rights arising thereof, are owned by Aloha Rock Gym LLC. Members agree they will not do anything inconsistent with Aloha Rock Gym’s ownership of all the intellectual property discussed herein. Member further agrees that there are no rights, title, or interest in or to any membership services, except as stated in this agreement. Member grants permission for use of their likeness in promotional materials. Aloha Rock Gym will aim to remove any photos of a Member from public use after a written request by Member.
10) REFUNDS: Aloha Rock Gym holds the right to refund on a case-by-case basis.
11) MEMBER CONSENTS: Member agrees to hold Aloha Rock Gym, its owners, affiliates, and representatives, harmless from any damage, tangible or intangible, that may happen to the Member while participating in Membership Services. Member agrees that Aloha Rock Gym offers its membership program with no guarantee of results of any kind. Member Agrees that any results that occur during their membership, whether positive or negative, are the effects of Members own personal choices. Member agrees and verifies that all of the information they have given to Aloha Rock Gym and its representatives is accurate, up to date, and without omission of any requested information.
Member agrees to notify Aloha Rock Gym of any changes or upcoming changes concerning their personal information.
12) LIABILITY WAIVER: Member agrees to complete a personal liability waiver prior to participating in any Membership Services at Aloha Rock Gym.
13) ASSUMPTION OF RISK: Member acknowledges that climbing is inherently dangerous. Member agrees and understands that their participation in membership services may involve risks. These risks may lead to tangible or intangible harm, and Member agrees that these risks may result not only from their own actions but also from the actions of others. With the knowledge and understanding of these risks, Member chooses, of their own will and volition, to continue participating in the membership services.
14) INDEMNIFICATION: Member agrees to defend and indemnify Aloha Rock Gym and hold them harmless against any and all legal claims and demands, including reasonable attorney's fees, which may arise from or relate to Member's use or misuse of the activities, Member's breach of this agreement, or Member's conduct or actions. Member agrees that Aloha Rock Gym shall be able to select its own legal counsel and may participate in its own defense if so desired.
